Agreement

These Terms of Service ("Terms") govern access to and use of Culistock's software platform and related services. By creating an account, accessing, or using the service, you agree to these Terms on behalf of your business. If you do not agree, do not use the service.

Service Description

Culistock is a B2B SaaS restaurant operations platform that includes tools for inventory management, purchasing, compliance tracking, staffing support, and AI-assisted operational workflows.

Account Requirements

• You must provide accurate, current account and business information.
• You are responsible for maintaining credentials and restricting unauthorized access.
• You are responsible for all activity occurring under your account.
• You must use the service in compliance with applicable laws and regulations.

Subscription and Billing

Culistock is billed as a recurring subscription at $79 per location per month, unless otherwise agreed in writing. Fees are charged in advance and are non-refundable except where required by law.

You authorize us and our payment processors to charge the payment method on file for subscription fees, applicable taxes, and related charges. We may suspend or limit access for overdue accounts.

Data Ownership

As between the parties, your restaurant retains ownership of data you submit to the platform, including operational and business records. You grant Culistock a limited license to process this data solely to provide, secure, maintain, and improve the service.

AI Features Disclaimer

AI-generated outputs are provided for operational assistance and may contain inaccuracies. AI outputs are not financial, legal, tax, or compliance advice. You are responsible for independent review and final decisions regarding purchasing, staffing, compliance, and business operations.

Acceptable Use

You agree not to misuse the service, including by:

• Attempting to gain unauthorized access to systems or accounts.
• Interfering with service availability or security controls.
• Uploading unlawful, infringing, or malicious content.
• Reverse engineering the platform except to the extent allowed by law.

Termination

You may stop using the service at any time. We may suspend or terminate access for breach of these Terms, non-payment, legal requirements, or security risks. Upon termination, your access may be disabled and data may be deleted according to retention and legal obligations.

Limitation of Liability

To the maximum extent permitted by law, Culistock and its affiliates are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, goodwill, or data.

To the maximum extent permitted by law, our aggregate liability arising from or related to the service will not exceed the amounts paid by you to Culistock in the 12 months preceding the event giving rise to the claim.

Changes to Terms

We may update these Terms. Updated Terms become effective when posted, unless stated otherwise. Continued use after updates constitutes acceptance.
